<p>West Palm Beach, FL (December 6, 2011) – Oasis Outsourcing Holdings, Inc., the nation’s second largest Professional Employer Organization (PEO), has announced the acquisition of Smart Payroll Solutions.  Smart Payroll Solutions provides payroll processing, comprehensive human resources, benefits administration, risk management and workers’ compensation services to companies throughout Florida. Terms of the deal were not disclosed.</p>
<p>The company, headquartered in Fort Myers, Florida, will continue to operate under the name Smart Payroll Solutions, an Oasis Outsourcing Company.</p>
<p>“This transaction is a great benefit to our loyal clients who will continue to receive the personal service that has been the hallmark of Smart Payroll Solutions, while gaining access to expanded services, employee benefits and technology that Oasis Outsourcing provides,” said Tom Lambert, President and CEO of Smart Payroll Solutions.  Mr. Lambert will remain in an executive-level capacity with the company.</p>

<p>West Palm Beach, FL (April 29, 2011) – Oasis Outsourcing, the nation’s largest privately-held Professional Employer Organization (<a href="/peo-overview">PEO</a>), has announced the acquisition of Advantec, a PEO that has provided comprehensive employment-related services to its diverse client base for more than 13 years. <p>This is the fourth strategic acquisition made by Oasis in the last four years. Oasis is now the third largest PEO in the nation, serving more than 4,000 clients and 120,000 worksite employees. “Strategic acquisitions are an important part of our overall growth strategy,” said Mark Perlberg, President and CEO of Oasis Outsourcing. “This acquisition will provide increased leverage and resources, enabling Oasis to continue to innovate and deliver the best products and services to our clients. <p><b>March 12, 2010</b></p>
<p>West Palm Beach, Florida – Oasis Outsourcing, one of the nation’s largest Professional Employer Organizations (Oasis Outsourcing <a href="/peo-overview">PEO</a>), has become accredited by the Employer Services Assurance Corporation (ESAC) and is participating in its PEO Client Assurance Program. </p>
<p>ESAC is the nationally recognized financial assurance, standard-setting and monitoring entity for the Professional Employer Organization (PEO) industry. Through its voluntary accreditation process, ESAC ensures that participating PEOs adhere to important ethical, financial and operational standards for the purpose of promoting a high level of integrity and responsibility within the PEO industry. As a condition of continued accreditation, Oasis is required to submit quarterly reports to ESAC including financial statements and an independent CPA’s verification of the timely and accurate payment of all payroll taxes, employee benefit contributions and insurance premiums.</p>
<p>“When a client joins Oasis Outsourcing, we assume important employer obligations for their company,” said Mark Perlberg, CEO of Oasis Outsourcing. “Through our participation in ESAC’s PEO Client Assurance Program, these obligations are assured by ongoing ESAC monitoring and the tangible financial protection of surety bonds held on our behalf.”  The bonds are held by the Employer Services Trust, with a major national bank serving as Trustee. </p>
<p>This financial protection program from ESAC is similar to the FDIC for the banking industry and provides reimbursement up to $1 million per participating PEO, plus $10 million aggregate for all participating PEOs, for losses to clients, worksite employees, taxing authorities and insurance carriers in the unlikely event that a participating PEO defaults on the payment of wages, taxes, employee benefit contributions or insurance premiums. The PEO Client Assurance Program is designed to provide valuable assurance to Oasis clients without any additional cost.</p>

Terms of the deal were not disclosed. National HR Advantage’s primary office in Palm Beach Gardens, FL will be relocated to the corporate offices of Oasis, located in nearby West Palm Beach.</p>

<p><strong>May 21, 2008</strong><br />
<b>West Palm Beach, FL</b> &ndash; Oasis Outsourcing, the nations largest privately-held Professional Employer Organization (<a href="/peo-overview">PEO</a>), successfully completed a Statement on Auditing Standards (SAS) No. 70 Type II audit. The audit, considered the gold standard for service provider audits, was administered by Ernst &amp; Young, one of the nations premier auditing firms. It is an important validation for client companies subject to Sarbanes-Oxley and other reporting requirements.</p>
<p>SAS 70 is an in-depth audit developed by the American Institute of Certified Public Accountants (AICPA) to test the internal controls of service providers processes and procedures. Oasis underwent the more rigorous Type II audit, which not only assures that an organization has controls in place, but tests the effectiveness of those controls over a period of time.</p>
<p>The SAS 70 audit evaluated controls relating to data security and storage, system utilization monitoring, client payroll processing, tax filings and more.  </p>
<p>&ldquo;Because clients entrust critical functions to our care such as payroll and benefits administration, it is very important that we utilize best-in-class procedures to protect their sensitive data,&rdquo; said Mark Perlberg, CEO of Oasis Outsourcing. &ldquo;Our successful completion of the SAS 70 Type II audit demonstrates that we have effective internal controls for important processes in place.&rdquo;</p>
<p>Examples of some of the controls audited include:</p>
<ul>
<li>Data files, software, and related documentation, both on-site and off-site are properly stored, restricted to authorized users, and that storage sites are periodically reviewed for security of data files.</li>
<li>Measures are in place and facilities are maintained for protection of computer equipment from environmental factors (e.g., fire, dust, water, excessive heat, etc.)</li>
<li>New system software and applications being developed and changes to system software and existing applications are authorized, tested, approved, properly implemented, and documented.</li>
<li>Outbound data transmissions between Oasis and its clients are complete, accurate and secure.</li>
<li>Logical access to firewall architectures and connections is restricted to properly authorized individuals, and that patches/fixes are applied to firewalls on a timely basis.</li>
<li>Payroll data (including voids, reissues, reversal and tax adjustments) is recorded, processed and distributed accurately and completely.</li>
<li>Changes to benefit plans are properly authorized and accurately processed, as well as collected and paid out.</li>
<li>Tax filings and W-2s are recorded, processed and distributed accurately and completely.</li>
</ul>

<b>West Palm Beach, FL</b> &#8211; Oasis Outsourcing, the nation’s largest privately-held Professional Employer Organization (<a href="/peo-overview">PEO</a>), recently hosted an Open House at its new headquarters, located at 2054 Vista Parkway at Emerald View at Vista Center. The company relocated from its prior location in West Palm Beach to this space to better accommodate the substantial business growth over the past few years, as well as anticipated growth.</p>
<p>The building is one of the few Category-5 resistant buildings in Palm Beach County. It is able to withstand wind gusts of up to 185 miles per hour and in the event of a power outage, a 20,000 gallon diesel-engine generator provides backup power for up to 14 days before needing to be refueled. The building also features a solid concrete roof and solid concrete, steel-reinforced wall panel exteriors that exceed current building code requirements.   </p>
<p>Close to 100 guests attended the Open House, which included tours of the offices and Human Resources and Payroll training sessions. With 36,000 square feet of space, Oasis occupies two of the four floors of the building.     </p>
<p>“We are very proud of our new offices, and it was a pleasure to host our clients and business associates here,” said Mark Perlberg, President and CEO of Oasis Outsourcing. “The building’s disaster resistant features were very important factors in our selection process due to our commitment to take every measure possible to remain operational for our clients even in the worst of conditions.”     Emerald View at Vista Center is located at 2054 and 2056 Vista Parkway off Okeechobee Boulevard, one of Palm Beach County’s busiest thoroughfares. The office park is conveniently located less than one-quarter mile from Florida’s Turnpike and just minutes from I-95, West Palm Beach’s city center, and Palm Beach International Airport.        </p>
